Agreement and eligibility
These terms govern access to and use of the distributor.live website, business workspace, public storefront features, and related services. By creating an account or using the service, you agree to these terms and our Privacy Policy.
You must be legally able to enter this agreement and use the service for a lawful business purpose. If you use distributor.live for an organisation, you confirm that you are authorised to accept these terms for that organisation.

Accounts and security
You are responsible for accurate registration information, keeping your credentials confidential, and activity that occurs under your account. Notify us promptly if you believe your account or credentials have been compromised.
You may use email and password or an available third-party sign-in provider. Your use of a third-party sign-in provider is also subject to that provider's terms.

The service
distributor.live provides tools for business profiles, inventory, suppliers, products, catalogs, clients, invoices, payment records, and public product storefronts. Features may change as the service develops.
The service helps prepare business records and documents, but it does not replace professional accounting, tax, legal, or compliance advice. You remain responsible for checking calculations, tax treatment, invoice content, and business decisions.

Your data and content
You retain ownership of the business data, product information, images, logos, client records, and other content you submit. You give us a limited permission to host, copy, process, display, and format that content only as needed to operate, secure, and improve the service and to create the pages, catalogs, invoices, and exports you request.
You confirm that you have the rights and lawful basis needed to upload and use the content, including personal data about staff, suppliers, clients, and buyers. You are responsible for the accuracy of your content and for keeping appropriate backups of important records.

Storefront and seller responsibilities
A distributor who publishes a storefront is the seller responsible for the products and the buyer relationship. distributor.live is not the seller of record and does not currently process the buyer's online payment.
The storefront distributor is responsible for:
- product descriptions, availability, prices, taxes, and images;
- accepting or declining an order and collecting payment;
- delivery, fulfilment, returns, refunds, warranties, and support;
- lawful marketing and communication with buyers;
- privacy notices and legal obligations that apply to its buyer data.
A storefront order submission is a record of the buyer's request. It is not a payment confirmation or a guarantee that the distributor will accept or fulfil the order.

Acceptable use
You must not use the service to:
- break the law, infringe rights, or facilitate fraud or deception;
- sell prohibited, counterfeit, unsafe, or unlawfully obtained goods;
- upload malware or attempt unauthorised access to accounts, systems, or data;
- probe, overload, scrape, or disrupt the service except with our written permission;
- misrepresent your identity, business, products, prices, or authority;
- upload personal data you are not permitted to collect or use.

Fees and commercial terms
Public commercial pricing is not currently published. If paid access or onboarding applies, we will provide the price, billing schedule, taxes, and relevant plan terms before you agree to them.
Separate written order forms or commercial terms may supplement these terms. If there is a conflict about pricing or plan scope, the more specific written commercial term will control for that subject.

Third-party services
The service relies on third parties for functions such as authentication, database infrastructure, hosting, and image storage. Their services may have separate terms and may experience changes or interruptions outside our control. Links or connections to third-party services do not mean we endorse every third-party offering.

Our intellectual property
The service software, interface, brand, and original content are owned by or licensed to distributor.live and are protected by applicable intellectual-property laws. These terms give you a limited, revocable, non-exclusive right to use the service for your internal business purposes; they do not transfer ownership of the service or brand.

Availability, changes, and suspension
We work to keep the service available but do not promise uninterrupted or error-free operation. We may maintain, change, add, or remove features, including during early product development.
We may limit or suspend access when reasonably needed to protect the service or users, address non-payment, investigate unlawful activity, or enforce these terms. Where practical, we will give notice and an opportunity to resolve the issue.

Termination
You may stop using the service at any time. To request closure of an account, contact us. We may terminate access for a material breach, legal requirement, security risk, or discontinued service.
Provisions that by their nature should continue—such as ownership, confidentiality, payment obligations, disclaimers, and liability limitations—survive termination.

Disclaimers
To the extent permitted by law, the service is provided on an “as is” and “as available” basis. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a particular business result, tax outcome, buyer payment, order fulfilment, or recovery of outstanding balances.

Limitation of liability
To the extent permitted by law, distributor.live and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data arising from use of the service.
Where liability cannot be excluded, the total liability arising from the service will be limited to the amount you paid for the service during the twelve months before the event giving rise to the claim, or the minimum amount required by applicable law if you paid nothing. Nothing in these terms excludes liability that cannot legally be excluded.

Indemnity
To the extent permitted by law, you will defend and indemnify distributor.live and its operators against third-party claims, losses, and reasonable costs arising from your content, products, storefront, fulfilment, violation of law, infringement of rights, or material breach of these terms.

Law and disputes
We encourage you to contact us first so we can try to resolve a concern informally. Any mandatory consumer or data-protection rights that apply to you remain unaffected.
Unless a separate written agreement specifies governing law and venue, disputes are governed by the law that applies to the service operator and the transaction, and must be brought before a court with lawful jurisdiction.

Changes and contact
We may update these terms as the service changes. The latest revision date appears at the top. Material changes may be communicated in the product or by email when appropriate. Continued use after the effective date means you accept the updated terms.
